1. NATURE OF AGREEMENT AND STATUTORY SCOPE

1.1 Binding Legal Contract

This Commercial Affiliate Program Agreement and Disclosure Statement (“Agreement”) constitutes a legally binding contract between ASETRAX LIMITED (“AsetraX”, “we”, “us”, or “our”) and any legal entity or natural person submitting an application or participating in the AsetraX Affiliate Program (“Affiliate Partner” or “you”).

1.2 Statutory Compliance

This Agreement enforces mandatory compliance with commercial, advertising, and anti-spam legislation across New Zealand and Australia, including:

The Fair Trading Act 1986 (NZ);
Schedule 2 of the Competition and Consumer Act 2010 (Cth) (Australian Consumer Law or “ACL”);
The Unsolicited Electronic Messages Act 2007 (NZ); and
The Spam Act 2003 (Cth) (AU).

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Eligibility Criteria

To qualify as an Affiliate Partner, you represent and warrant that you:

(a) Are at least 18 years of age and possess full legal capacity to enter into enforceable contracts;
(b) Maintain an active, verified user account on the Platform;
(c) Are not an employee, contractor, officer, or direct competitor of ASETRAX LIMITED; and
(d) Have not previously had an account terminated by AsetraX for breach of contract or fraudulent activity.

2.2 Mechanics of Assent and Unique Credentials

Upon approval of your application, AsetraX will issue a unique Affiliate Identification Token (“Affiliate ID”) and tracking URL link (“Referral Link”). Clicking “I Agree” or utilizing the Referral Link constitutes electronic execution of this Agreement under Part 4 of the Contract and Commercial Law Act 2017 (NZ) and the Electronic Transactions Act 1999 (Cth) (AU).

3. COMMISSION STRUCTURE AND REVENUE TIER SCHEDULE

3.1 One-Time Bounty Model

Commissions are calculated strictly on a one-time acquisition bounty basis for the initial paid billing cycle generated by a new customer (“Referred Customer”). No recurring or perpetual trailing commissions accrue on subsequent billing cycles, renewals, or subscription maintenance fees.

3.2 Schedule of Inclusions

Commissions accrue according to the following schedule of subscription tiers:

3.3 Tier Upgrades Within 30 Days

If a Referred Customer upgrades their subscription tier within thirty (30) calendar days of initial purchase, the Affiliate Partner receives the prorated difference between the original bounty paid and the higher tier bounty. Upgrades occurring after 30 days do not qualify for commission adjustments.

4. TRACKING METHODOLOGY AND ATTRIBUTION RULES

4.1 Digital Attribution Cookie Window

Referrals are tracked electronically via tracking scripts operated by AffiliateWP. A persistent tracking cookie with a thirty (30) calendar day attribution window is placed on the prospective buyer’s browser upon clicking the Referral Link.

4.2 Attribution Hierarchy

(a) Last-Click Attribution: Attribution is credited strictly on a “last-click” basis. If a prospective customer clicks multiple referral links prior to completing a purchase, the commission accrues exclusively to the Affiliate Partner associated with the final link clicked prior to checkout.
(b) Direct Unlinked Purchases: No commission accrues on accounts registered without an active, tracked Referral Link session. AsetraX accepts no liability for untracked sales caused by browser cookie blocks, private browsing modes, or technical clearing of client-side cache.

5. PAYMENT TERMS, HOLDING PERIOD, AND DISBURSEMENT

5.1 Mandatory Holding Period (14 to 30 Days)

All accrued commissions are subject to a mandatory holding and verification period of 14 to 30 calendar days from the transaction date prior to becoming available for payout. This holding period safeguards against payment processing errors, credit card chargebacks, and refund claims.

5.2 Minimum Thresholds and Payout Options

Commission disbursements are executed upon formal request via the Affiliate Dashboard once the available balance meets the minimum thresholds:

New Zealand Direct Credit: Minimum $50.00 NZD.
Australian Direct Credit: Minimum $50.00 AUD.
PayPal Digital Disbursement: Minimum $50.00 USD equivalent.
AsetraX Account Credit: Minimum $10.00 NZD.

5.3 Statutory Tax Obligations

Affiliate Partners bear sole legal responsibility for declaring and paying all applicable income tax, Goods and Services Tax (GST), or indirect local taxes levied on commission income by the Inland Revenue Department (IRD NZ), Australian Taxation Office (ATO), or foreign revenue authorities. AsetraX does not withhold taxes from commission disbursements.

6. RESTRICTED MARKETING PRACTICES AND ANTI-FRAUD CONTROLS

Affiliate Partners must strictly adhere to market integrity standards. Engaging in any of the following restricted practices constitutes a material breach resulting in immediate account termination and total forfeiture of accrued earnings:

6.1 Brand Bidding and Trademark Infringement

Affiliate Partners shall not bid on, register, or target keywords, ad groups, search terms, or social media handles containing “ASETRAX”, “Assets Property Hub”, or variations thereof across search engine marketing channels (e.g., Google Ads, Microsoft Advertising) without express prior written consent from AsetraX.

6.2 Anti-Spam Violation

Affiliate Partners must not distribute Referral Links via unsolicited commercial electronic messages, bulk emails, automated SMS tools, or social media spam in breach of the Unsolicited Electronic Messages Act 2007 (NZ) or Spam Act 2003 (Cth) (AU).

6.3 Self-Referral and Identity Fraud

Affiliate Partners shall not execute self-referrals, generate accounts under false legal entities, or manipulate registration forms to capture commissions on their own property listings or memberships.

7. MANDATORY CONSUMER LAW DISCLOSURE OBLIGATIONS

7.1 Transparent Commercial Disclosures

To comply with the Fair Trading Act 1986 (NZ) and the Australian Consumer Law, Affiliate Partners must prominently, clearly, and unambiguously disclose their commercial relationship with AsetraX adjacent to every Referral Link or promotional review.

7.2 Approved Disclosure Wording

Promotional copy must contain disclosures such as:

“Disclosure: I am an independent Affiliate Partner for AsetraX and may earn a financial commission if you purchase a membership through my referral link.”

Social media promotions must include clear hashtags such as #ad, #affiliate, or #sponsored.

8. INTELLECTUAL PROPERTY AND BRAND LICENSING

8.1 Limited Revocable Licence

AsetraX grants the Affiliate Partner a non-exclusive, non-transferable, revocable, royalty-free licence to display approved AsetraX brand logos and promotional media solely for the purpose of driving referrals under this Agreement.

8.2 Reservation of Rights

All trade marks, software code, domain names, UI designs, and marketing assets associated with ASETRAX LIMITED remain the exclusive property of ASETRAX LIMITED.

9. TERM, SUSPENSION, AND TERMINATION

9.1 Voluntary Termination

Either party may terminate this Agreement at any time, with or without cause, upon issuing written notice to the other party via email.

9.2 Immediate Termination for Cause

AsetraX reserves the non-reviewable administrative right to suspend or permanently terminate an Affiliate Partner’s profile immediately without prior notice if:

(a) You commit a material or persistent breach of this Agreement;
(b) We detect fraudulent, deceptive, or automated referral activity; or
(c) You bring the reputation or brand goodwill of AsetraX into disrepute.

9.3 Effect of Termination

Upon termination, the Affiliate Partner’s Referral Link is deactivated immediately. Unverified, pending, or fraudulent commissions are forfeited in full. Legitimate commissions cleared prior to termination remain payable subject to the minimum disbursement threshold.

10. LIMITATION OF LIABILITY AND INDEMNIFICATION

10.1 Financial Liability Cap

To the maximum extent permitted by applicable law, the total aggregate liability of ASETRAX LIMITED arising out of or in connection with this Program—whether in contract, tort (including negligence), or statute—shall be strictly capped at the total commission fees paid to the Affiliate Partner in the twelve (12) month period immediately preceding the claim.

10.2 Affiliate Indemnity

You agree to fully indemnify, defend, and hold harmless ASETRAX LIMITED, its directors, officers, employees, and agents from and against all third-party claims, liabilities, losses, fines, damages, and legal costs arising from your marketing practices, misrepresentations, or breach of advertising regulations.

11. GOVERNING LAW AND JURISDICTION

This Agreement is governed by, and shall be construed in accordance with, the laws of New Zealand. The parties irrevocably submit to the non-exclusive jurisdiction of the courts of New Zealand for the resolution of any formal dispute.
