1. STATUTORY PURPOSE AND GOVERNANCE FRAMEWORK

1.1 Binding Application

This Acceptable Use and Platform Conduct Policy (“Policy”) establishes mandatory behavioral standards, operational constraints, and technical rules governing access to and use of the cross-border digital property marketplace at https://assetspropertyhub.com (“Platform”), operated by ASETRAX LIMITED (“AsetraX”, “we”, “us”, or “our”).

1.2 Covered Parties

This Policy applies strictly to all registered account holders, property searchers, real estate salespersons, commercial developers, private landlords, affiliate partners, and general platform visitors (collectively, “Users”).

1.3 Regulatory Alignment

This Policy enforces compliance with governing statutes in New Zealand and Australia, including:

  • The Real Estate Agents Act 2008 (NZ) (“REAA 2008”);
  • The Fair Trading Act 1986 (NZ);
  • Schedule 2 of the Competition and Consumer Act 2010 (Cth) (Australian Consumer Law or “ACL”);
  • The Unsolicited Electronic Messages Act 2007 (NZ) and Spam Act 2003 (Cth) (AU); and
  • The Anti-Money Laundering and Countering Financing of Terrorism Act 2009 (NZ) (“AML/CFT Act”) and the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth) (AU).

2. CORE OPERATIONAL PRINCIPLES

  • 2.1 Legality and Good Faith: Users shall access the Platform strictly for bona fide, lawful real estate search, listing, and communication purposes.
  • 2.2 Integrity of Information: All representations, listing particulars, credentials, and user data transmitted to or through the Platform must be true, accurate, current, and verifiable.
  • 2.3 Professional Conduct: Users must interact with other platform participants and AsetraX personnel with professional courtesy, civility, and respect.

3. PROHIBITED PLATFORM CONDUCT

Users are strictly prohibited from engaging in, attempting to engage in, or facilitating any of the following prohibited behaviors:

3.1 Fraud, Deception, and Misrepresentation

Users must not:

  • (a) Submit false, misleading, or deceptive property listings, boundary claims, pricing data, or availability disclosures;
  • (b) Impersonate any legal person, real estate licensee, corporate agency, or AsetraX representative;
  • (c) Publish unsubstantiated, guaranteed, or misleading investment returns, rental yield projections, or financial growth figures; or
  • (d) Utilize stolen, fraudulent, or unauthorized payment instruments to settle platform Membership fees.

3.2 Technical Security Attacks and System Interference

Users must not:

  • (a) Upload, transmit, or introduce software viruses, trojan horses, worms, logic bombs, ransomware, or malicious code;
  • (b) Deploy automated spiders, bots, crawlers, scraping tools, or data extraction scripts to harvest platform directory data, user details, or listing media without express prior written consent from AsetraX;
  • (c) Attempt to breach, probe, scan, or compromise the vulnerability of server infrastructure, firewalls, user databases, or authentication mechanisms; or
  • (d) Execute Denial-of-Service (DoS) attacks, flood request queues, or overburden server capacity.

3.3 Anti-Spam and Communication Abuse

Users must not:

  • (a) Transmit unsolicited commercial communications, bulk electronic messaging, or spam to platform users in breach of the Unsolicited Electronic Messages Act 2007 (NZ) or Spam Act 2003 (Cth) (AU);
  • (b) Harvest personal contact details (email addresses, phone numbers) from property listings for inclusion in third-party direct marketing lists; or
  • (c) Utilize direct messaging channels to solicit platform users for non-property products, pyramid schemes, or competing services.

3.4 Intellectual Property Infringement

Users must not:

  • (a) Upload listing descriptions, photographs, architectural renders, floor plans, or media content protected by third-party copyright without holding valid legal authorization or ownership;
  • (b) Display registered trademarks or corporate brand assets without express licensor permission; or
  • (c) Remove, alter, or obscure copyright notices, digital watermarks, or proprietary legends on platform content.

3.5 Harassment, Abuse, and Discriminatory Practices

Users must not:

  • (a) Transmit abusive, threatening, defamatory, obscene, or sexually explicit communications;
  • (b) Engage in discriminatory conduct or publish content that discriminates against any individual based on race, ethnicity, national origin, religion, gender, disability, age, or sexual orientation; or
  • (c) Dox, harvest, or publicly expose the private personal data of any platform user.

4. LISTING CONTENT AND VERIFICATION STANDARDS

Listers publishing real estate listings on the Platform must adhere strictly to the following standards:

4.1 Mandatory Licensing Warranties

Listers operating as real estate agents or agencies represent and warrant that they maintain active, valid professional real estate licensing under the Real Estate Agents Act 2008 (NZ) or equivalent State/Territory statutes in Australia. Unlicensed entities must not hold themselves out as licensed professionals.

4.2 Accuracy of Imagery and Media

  • (a) Photographs and video assets must accurately reflect the genuine physical condition, boundaries, and features of the advertised property.
  • (b) Visual edits, digital alterations, or AI-generated renders that materially conceal defects or misrepresent structural attributes are strictly prohibited.
  • (c) Where AI-generated architectural renders or virtual staging imagery are used for off-plan developments, the listing description must clearly disclose that the imagery is a conceptual rendering.

4.3 Statutory Regulatory Tagging (OIA and FIRB)

  • (a) Property listings marked as “Foreign Buyer Eligible” must strictly comply with the Overseas Investment Act 2005 (NZ) (“OIA”).
  • (b) Property listings marked as “FIRB Eligible” must strictly comply with Australian Foreign Investment Review Board regulations.
  • (c) False or negligent designation of foreign buyer eligibility constitutes a material breach of this Policy and warrants immediate listing removal.

4.4 Substantiation of Financial Figures

Yield claims, rental projections, and financial performance estimates published within listing content must be backed by documented, verifiable market data. Guarantees of investment income or capital growth are forbidden.

5. COMPLAINTS PROCEDURE AND DISPUTE REPORTING

5.1 Submission of Notice

Any user or third party who identifies content or conduct that breaches this Policy may submit a formal complaint to AsetraX. Formal complaints must be delivered in writing to:

5.2 Required Notice Specifics

To be processed, a complaint must contain:

  1. Full legal name, professional title, and direct contact details of the complainant;
  2. The specific Uniform Resource Locator (URL) or unique listing identifier of the offending content;
  3. A detailed statement of facts demonstrating how the content or user conduct breaches this Policy or applicable statutes; and
  4. Supporting evidence (e.g., land title registers, copyright ownership certificates, or written correspondence).

5.3 Investigation Timelines

AsetraX acknowledges complaint submissions within twenty-four (24) hours of receipt. AsetraX will evaluate the complaint and take appropriate administrative action within five (5) to seven (7) business days.

6. COPYRIGHT INFRINGEMENT & TAKEDOWN NOTICES (DMCA FRAMEWORK)

  • 6.1 Takedown Notification: Copyright owners who believe their protected works have been reproduced on the Platform without authorization may submit a Takedown Notice to aphadmin@assetspropertyhub.com. The notice must include proof of ownership, exact locations of the infringing material, and a statement made under penalty of perjury that the claimant is authorized to act.
  • 6.2 Counter-Notification: Account holders whose content is removed due to a copyright notice may submit a Counter-Notification within ten (10) business days of removal, establishing proof of ownership or authorization.
  • 6.3 Repeat Infringers: AsetraX enforces a strict repeat-infringer policy resulting in permanent account termination for users who repeatedly infringe third-party intellectual property rights.

7. ENFORCEMENT MEASURES AND SANCTIONS

AsetraX reserves the non-reviewable, absolute administrative right to investigate potential breaches and apply enforcement measures based on severity:

Reserved for severe violations including financial crimes, fraud, security breaches, and illegal activity. Formal referral to regulatory bodies and law enforcement agencies (e.g., REA, Commerce Commission, NZ Police, ASIC, ACCC, AFP).

7.1 Level 1 – Formal Warning

Issued for minor, non-systemic administrative errors or technical omissions. The user is given seven (7) calendar days to rectify the non-compliance.

7.2 Level 2 – Content Removal and Listing Purging

Applied immediately to false listings, misleading financial claims, copyright-infringing media, or non-compliant regulatory tags.

7.3 Level 3 – Account Suspension or Permanent Termination

Executed for serious or repeated breaches, fraud, security attacks, hate speech, harassment, or financial misconduct. Termination results in immediate forfeiture of active Memberships without entitlement to refunds.

7.4 Level 4 – Legal Proceedings and Regulatory Reporting

Reserved for severe violations, including financial crimes, fraud, security breaches, and illegal activity. Matters will be formally referred to regulatory bodies and law enforcement agencies, including:

  • New Zealand: The Real Estate Authority (REA), the Commerce Commission, and New Zealand Police;
  • Australia: The Australian Securities and Investments Commission (ASIC), the Australian Competition and Consumer Commission (ACCC), and the Australian Federal Police (AFP).

8. LIMITATION OF PLATFORM LIABILITY & INDEMNIFICATION

  • 8.1 Absence of Active Monitoring Duty: While AsetraX reserves the right to review content, it assumes no legal duty or obligation to actively monitor or pre-screen third-party listings or messaging transmissions.
  • 8.2 User Indemnity: You agree to fully indemnify, defend, and hold harmless ASETRAX LIMITED, its directors, officers, employees, contractors, and agents against any claims, losses, damages, liabilities, fines, or legal expenses (including full legal costs on a solicitor-and-client basis) arising directly or indirectly from your breach of this Policy, your listing content, or your unlawful conduct on the Platform.

9. SEVERABILITY AND POLICY AMENDMENTS

  • 9.1 Severability: If any provision of this Policy is determined by a court of competent jurisdiction to be illegal, invalid, or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect.
  • 9.2 Amendments: AsetraX reserves the right to modify this Policy at any time. Amendments take effect immediately upon publication on the Platform. Continued access to or use of the Platform following updates constitutes legal acceptance of the revised Policy.
